LICENCE TO USE SHARED DESK SPACE AT CANADA HOUSE, CHEPSTOW STREET,

MANCHESTER M1 5FW

By completing the online Application form on Cobot (“Application Form”) the Licencee as defined below confirms his/her/its acceptance and agreement to all the terms contained in this Licence and to the Terms and Conditions in Schedules 1-3 appended hereto.

BETWEEN:

(1) LJREAL 1A LIMITED of Commerce House, 1 Bowring Road, Ramsey, Isle of Man, IM8 2LQ (“ the Licensor”)

(2) The individual or company accepting the terms of this Licence [and whose details are contained in the Application Form as referred to above] ("the Licensee")

1. DEFINITIONS

The following definitions apply in this Licence:

Canada House: Canada House, Chepstow Street, Manchester, M1 5FW

Common Areas: the toilets and kitchen facilities at Canada House for common use of the users of the Co-working Space and other occupants of Canada House, as the same are allocated as such from time to time by the Licensor

Co-working Space: the shared office space area on the ground floor of Canada House as allocated as such from time to time by the Licensor

Desk: a desk or desks within the Co-working Space as referred to in the details in the Application Form

Licence Period: subject to earlier termination in accordance with this Licence an initial period of one month starting on the date the Licencee accepts the terms of this Licence (“Initial Period”) and thereafter until such time as either party gives the other party one month’s notice of its intention to end this Licence

Licence Fee: the amount as referred to in the Application Form (exclusive of VAT) subject to clause 4.3 hereof

VAT: value added tax chargeable under the Value Added Tax Act 1994 and any similar replacement tax or any similar additional tax

2. GRANT OF LICENCE

2.1 Subject to the conditions herein and the Co-Working Space Usage Policy as contained in Schedule 1 the Licensor grants the Licensee a licence to use a Desk during the Licence Period during the normal opening hours of Canada House.

2.2 Nothing in this Licence gives the Licensee exclusive possession of the Desk or the Co-working Space (or any part of them) or otherwise constitutes a tenancy and no relationship of landlord and tenant is created between the Licensor and the Licensee by this Licence.

2.3 This Licence is personal to the Licensee and is not assignable.

3. CO-WORKING SPACE

3.1 The Desk in the Co-working Space which is allocated to the Licensee upon booking is subject to change at any time. The Licensee must not use the hot desks which are allocated or available to be allocated to other licensees.

3.2 The Licensee may connect wirelessly to the internet with a computer, smart phone or other device in the Co–working Space, but the Licensor accepts no liability for any disruption or unavailability which may occur.

3.3 As the Co-working Space is a shared space, no liability is accepted by the Licensor in respect of any confidential or sensitive information of the Licensee and the Licensee is solely responsible for safeguarding such information.

3.4 Subject to availability the Licensee may use the Meeting Rooms and Screening Room as defined in the Meeting Room Usage Policy contained in Schedule 2 of this Licence in accordance with the Meeting Room Usage Policy as contained in Schedule 2 of this Licence.

3.5 Whilst using the Desk in accordance with this Licence the Licensee may use the Common Areas in accordance with the terms of this Licence.

4. LICENCE FEE

4.1 The Licensee must pay to the Licensor the Licence Fee for each month without any deduction on or before the start of such month by direct debit together with such VAT as may be chargeable upon the Licence Fee.

4.2 Any additional fees which are applicable are payable immediately upon booking.

4.3 After the expiry of the Initial Period the Licensor is entitled by giving one month’s notice in writing to the Licensee to adjust the Licence Fee with effect from the expiry of such notice.

5. LICENCEE’S OBLIGATIONS

The Licensee agrees as follows:

5.1 to indemnify and keep indemnified the Licensor from and against all costs and all losses, claims, demands, actions, proceedings, damages, costs, expenses or other liability in any way arising from this Licence and any breach of the Licensee’s obligations herein;

5.2 not to do anything to invalidate or increase the cost of the Licensor's insurance policies in respect of Canada House;

5.3 not to allow anyone other than (in the case of a company only its employees) or guests in accordance with clause 5.8 hereof to use the Co-working Space (or any part of it);

5.4 not to cause or permit to be caused any damage to Canada House, the Co-working Space or any neighbouring property or any property of the owners or occupiers of Canada House or any neighbouring property;

5.5 to comply at the Licensee's own expense with all rules, regulations and policies defined in Schedule 1 as amended from time to time;

5.6 not to jeopardise the security of Canada House and to have your key fob with you at all times whilst using Canada House;

5.7 not to do or permit to be done anything at Canada House which would contravene any civil or criminal law;

5.8 to only bring guests into the Co-working Space on an occasional basis. Guests must be escorted by the Licensee at all times, the Licensor must be informed when they arrive and the guest must leave Canada House when the Licensee does. Advance notice must be given of any guests and the Licensee is strictly responsible for any guests;

5.9 not to use the Premises as a registered office address.

6. TERMINATION

6.1 The Licensor or the Licensee may terminate this Licence at any time by giving not less than one month's notice to the other provided that such notice must not expire before the end of the Initial Period.

6.2 The Licensor may terminate this Licence immediately at any time by giving written notice to the Licensee if the Licensee:

(a) fails to pay any amount due under this Licence on or by the due date for payment of such amount; or

(b) is in material breach of any of its obligations under this Licence which are incapable of remedy or is in persistent breach of any of its obligations under this Licence; or

(c) the Licensor has a genuine belief that the continuation of this Licence will damage its reputation.

7. CONSEQUENCES OF TERMINATION

7.1 On the termination of this Licence the Licensee must vacate the Co-working Space and Canada House and hand over all fobs and keys for the Co-working Space and Canada House.

7.2 Termination of this Licence shall not affect the rights of either party in connection with any breach of any obligation under this Licence which existed at or before the date of termination.

8. LIABILITIES

8.1 The Licensor and Licensee agree that the Licensor shall not be liable to the Licensee for, and that the Licensee shall indemnify, keep indemnified and hold harmless the Licensor from and against, any and all actions, claims, demands, losses, expenses, liabilities and costs (including legal costs) which may be brought or made or sustained or incurred by the Licensor howsoever arising directly or indirectly out of any act or omission of the Licensee (or any of its employees, agents, contractors or invitees to the Premises) in connection with this Licence in respect of the following matters:

(a) death of or injury to any person unless arising from the Licensor's negligence; and

(b) loss of or damage to Canada House or any property of the Licensee or any other person, firm or company.

8.2 Subject to clause 8.3, the Licensor will not be liable to the Licensee in contract or negligence for any loss of profits, loss of business, depletion of good will and/or similar losses, loss of anticipated saving, loss of contract, loss of data or any special indirect, consequential or pure economic loss of damage of any kind or any indirect or consequential loss or damage incurred or suffered by the Licensee or any other person in connection with this Licence.

8.3 Nothing in this clause 8 excludes or limits any liability of the Licensor for death or personal injury caused by its negligence or for fraud or fraudulent misrepresentation by it.

8.4 The Licensor will not be in breach of this Licence if performance of any of its obligations is prevented or delayed due to any cause outside its control.

8.5 The total liability of the Licensor to the Licensee in any event is strictly limited in value to the monies payable by the Licencee by way of Licence Fee in the 12 months paid by the Licensee prior to the incident whereby such liability has been incurred and the Licensee’s only form of compensation in such circumstances is by way of credits against future licence fees payable to the Licensor.

9. MISCELLANEOUS

9.1 If in the Licensor’s opinion the Licensee is disrupting, offending or endangering other people this Licence will be deemed terminated.

9.2 This Licence shall be subject to English Law and the exclusive jurisdiction of the English courts.

9.3 Replacement key fobs will be charged for at the sum of £10 per fob.

Schedule 1

Co-working Space Usage Policy

The following house rules have been put in place to ensure the co-working space is maintained to a high standard for the benefit of all desk users, visitors and other occupants within the Canada House. They are subject to change at any time by the Licensor. [You will be notified of any changes that are made].

By entering into this Licence you confirm that you have read and understood the terms and conditions set out below and that you agree to follow them. You agree:-

1. To keep the Co-working Space tidy and free from rubbish at all times.

2. To clear your desk of all items when you leave for longer than 1 hour or at the end of the day.

3. Not to bring additional lighting, heating, power or other electrical fittings, furniture or appliances into Canada House.

4. Not to use the Desk other than as a hot desk for office working for one person or permit the Co-working Space to be used at any time otherwise than for normal office use.

5. Not to cause any nuisance, offence or annoyance, inconvenience or disturbance to the Licensor or other users or occupiers of the Co-working Space, nor to do anything which in the Licensor's opinion will or may interfere with the quiet and effective operation of Canada House and/or damage the Licensor's reputation.

6. Not to smoke or permit smoking within any part of Canada House.

7. Not to bring or allow to be brought onto Canada House any hazardous or dangerous substances or anything which poses a fire risk including naked flames and fireworks.

8. Not to affix or erect any sign, notice or advertisement in or upon the Co-working Space or elsewhere in or upon Canada House.

9. Not to permit any broadcasting, filming or playing of music or any consumption of alcohol at Canada House.

10. To be considerate of others when making phone calls in the Co-working Space.

Schedule 2

Meeting Room Usage Policy

If you wish to make use of the ground floor Meeting Rooms or Screening Room ([together the]“Meeting Rooms”) please let [us] know and we will issue you with a user loggin to our booking platform Cobot.

Through Cobot you can see the availability of the Meeting Rooms reserve and pay for your chosen time slot. Further information on this can be found in your Welcome Pack.

Usage of the Meeting Rooms and Screening Room is subject to the following conditions [ which you accept by completing the online Application form for such Meeting Rooms]:-

1. All bookings for the use of the Meeting Rooms must be made via your user loggin on Cobot;

2. To keep the space tidy and free from rubbish at all times;

3. To clear all items when you leave;

4. Not to bring additional lighting, heating, power, furniture or appliances into the Meeting Rooms;

5. Not to keep leave or store any item (whether personal or business) papers or files on or within the Meeting Rooms and to remove all equipment, papers, files and other items from the Meeting Rooms at the end of each booked session;

6. Not to smoke or permit smoking within any part of Canada House; and

7. Not to bring or allow to be brought onto the Canada House any hazardous or dangerous substances or anything which poses afire risk including naked flames and fireworks.

8. Payment of all fees due for the booked Meeting Rooms.

Schedule 3

Scooter Usage Policy

The [electric] scooter [“Scooter] is (subject to availability) available to use by any Licensee or member of staff of a tenant within Canada House. It can be booked through the Cobot platform and is available to pick up from the building reception.

The usage of the Scooter is subject to the following conditions and by reserving it the user confirms they have read and understood these conditions that they agree to observe them at all times:-

1. The Scooter is not to be used inside Canada House at any time.

2. There is no charge for the use of the Scooter and it must be reserved through the Cobot platform. The Scooter must be signed out on collection and signed back in on its return.

3. You should inspect the Scooter before using it to satisfy yourself regarding its condition and you must report any damage caused to it to the building reception.

4. The [Licensor] reserves the right to remove the Scooter from use at any time.

5. The [Licensor] accepts no responsibility for your welfare or actions while you are using the Scooter and it is your responsibility to ensure you use it in a safe manner and in compliance with the Highway Code.

Tips for safer use:-

1. Do be aware of blind spots around large vehicles – its often safer to hang back

2. Do watch out for other vehicles and pedestrians and show your intentions be always giving clear hand signals.

3. Do make yourself seen by wearing bright clothing in the day and reflective clothing or accessories at night.

4. Do consider wearing a helmet

5. Don’t ride through red traffic lights

6. Don’t get too close to parked cars and beware of car doors opening suddenly

7. Don’t use mobile phones or earphones while riding

8. Don’t ride the Scooter while under the influence of alcohol or drugs

9. Don’t ride in the gutter – if the road is narrow it may be safer to ride towards the middle of the lane to prevent dangerous overtaking
